By creating an account, starting a free trial, or purchasing a plan, you (“you”, “the merchant”) agree to these Terms. If you do not agree, do not use the service.
1. What Brand360x provides
Brand360x is a software-as-a-service platform for running an online store. Your subscription gives you a store built on our platform, reachable at a Brand360x web address (or a domain you own and point to it), together with a dashboard to manage products, orders, storefront content, and payments. Brand360x is not a web hosting provider, a domain registrar, or a reseller of either — the infrastructure we operate is used solely to deliver our own software service to you. The service is provided on a subscription basis.
2. Eligibility & account
- You must be at least 18 and able to enter a binding contract.
- You are responsible for the accuracy of the details you provide (name, email, phone, business information) and for all activity under your account.
- Keep your login credentials confidential and secure, and notify us promptly of any unauthorised use of your account.
- We verify your email by one-time password (OTP) at signup. You confirm the email and phone number you provide are yours and that you are authorised to receive communications on them.
3. Free trial, then paid subscription
- Where a free trial is offered, it runs for 7 days (the “trial period”).
- To start a trial or a purchase you authorise a recurring payment mandate (see §4). At the end of the trial, unless you cancel before it ends, your first subscription charge is taken automatically.
- Plans, prices, and features are shown at checkout and may be updated for future billing periods with prior notice.
4. Recurring billing & UPI / auto-pay mandate
- Subscriptions are auto-renewing. By subscribing you authorise Brand360x (through our payment processor, Razorpay) to automatically charge your selected payment method — including via a UPI AutoPay / e-mandate — the applicable fee at the start of each billing period until you cancel.
- The mandate authorisation you approve in your UPI app or with your bank is your consent to these recurring charges. We record this consent (timestamp, document version, and verification details) for audit.
- If a charge fails, we may retry it per the payment processor’s rules and may suspend your store until payment succeeds. Prolonged non-payment leads to suspension and eventual release of the store.
- Taxes (e.g. GST), where applicable, are charged in addition to or inclusive of the displayed price as indicated at checkout.
5. Cancellation, refunds & plan upgrades
- You may cancel auto-renewal at any time from your dashboard or by contacting support; cancellation stops future renewals.
- Trial: cancel any time before the trial ends to avoid the first charge.
- No refunds: subscription fees are non-refundable. Cancelling does not refund the current or any earlier billing period; your store remains available until the end of the period you have paid for, after which it is paused. This does not affect rights you may have under applicable law.
- Plan upgrades (prorated credit): if you upgrade your plan mid-term, the unused value of your current plan is calculated and applied as a prorated credit against the cost of the new plan. This credit is adjusted within the upgrade charge only — it is never paid out in cash or refunded, and it has no value on cancellation.
- On cancellation or non-payment your store is suspended. Your data is retained while the store is paused and is permanently removed once your store is decommissioned; we do not guarantee a fixed retention window. Export anything you need before cancelling.
- Domain names are registered by you, or on your instruction, with a third-party registrar. Brand360x does not sell or resell domain names; registration fees are payable to that registrar and are non-refundable once registered.
6. Your content & acceptable use
- You retain ownership of the content, products, images, and data you upload (“Merchant Content”). You grant us a licence to store, display, and process it solely to operate the service for you.
- You are responsible that your Merchant Content and your store comply with law and do not infringe others’ rights. You must not use the service for unlawful, deceptive, infringing, or prohibited goods or activities — including distributing malware or malicious code, publishing hate speech or otherwise illegal content, or sending spam. We may suspend stores that violate this.
7. Data handling
- We process personal data (yours and your customers’) as described in the Privacy Policy, which forms part of these Terms.
- For your customers’ personal data, you are the controller and we act as your processor; you are responsible for your own privacy obligations to your customers.
8. Service availability & changes
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, update features, or modify the platform, and may discontinue features with reasonable notice.
9. Intellectual property
The Brand360x platform, software, and templates are our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. No rights are granted beyond what is stated.
Any stock media, images, or templates we make available through the platform remain the property of their original creators or licensors and may be used only within your Brand360x store — not extracted, resold, or redistributed for other purposes.
10. Liability
To the maximum extent permitted by law, the service is provided “as is” and “as available”. Our total aggregate liability arising out of or relating to the service is limited to the fees you paid to us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, goodwill, or data.
11. Suspension & termination
- We may suspend or terminate your account for non-payment, breach of these Terms, or unlawful use.
- You may stop using the service and cancel at any time as described in §5.
12. Changes to these Terms
We may update these Terms. Material changes will be notified by email or in the dashboard. The version you accepted at signup is recorded; continued use after an update means you accept the updated Terms.
13. Governing law & disputes
These Terms are governed by the laws of India. The courts at Mysuru, India have exclusive jurisdiction, subject to any mandatory consumer-protection rights available to you.
14. Indemnification
You agree to indemnify and hold harmless Brand360x, its owners and staff from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your store, your Merchant Content, the products or services you sell, your breach of these Terms, or your violation of any law or third-party right.
